This is a legally binding agreement. Affiliates must read and electronically sign this agreement in full before accessing their dashboard. Violations of Section 5 (Prohibited Conduct) will result in immediate account termination and forfeiture of all accrued commissions.
These Affiliate Program Terms & Conditions ("Agreement") constitute a legally binding contract between you ("Affiliate") and TradingDock LLC ("Company," "we," "us," or "our"). By checking the acceptance box and typing your full legal name, you represent that (a) you are at least 18 years of age, (b) you have the legal authority to enter this Agreement, (c) you have read, understood, and agree to be bound by all terms herein, and (d) if acting on behalf of an entity, you have authority to bind that entity. This Agreement is effective as of the date of your electronic signature and supersedes all prior oral or written communications regarding the Affiliate Program.
Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to promote TradingDock's subscription services through your unique referral link and/or coupon code ("Referral Assets"). You will earn commissions as specified herein for qualifying referrals. No employment, partnership, joint venture, franchise, or agency relationship is created by this Agreement. You have no authority to bind the Company in any contract or obligation.
Base commission rate is 30% of the net subscription amount collected (after applicable taxes and Stripe processing fees) for each active subscriber you refer. Commission tiers are based on active subscriber count at the time of payout calculation: • Starter (0–9 active subs): 30% recurring • Growth (10–24 active subs): 35% recurring • Pro (25–49 active subs): 38% recurring • Elite (50+ active subs): 40% recurring Commissions are recurring — you continue to earn for as long as each referred subscriber maintains an active paid subscription. Commission rates are subject to change with 30 days' written notice. Any custom rate agreements must be made in writing and countersigned by a Company officer.
A qualifying referral occurs when a new user (a) clicks your unique referral link or uses your coupon code, (b) completes account registration, and (c) maintains an active paid subscription past the 30-day refund window. Attribution is tracked via a 90-day cookie attached to your referral link. If a user clears cookies, uses a different device, or subscribes without your link/code, no commission is owed. The Company's tracking systems are the sole and final authority on attribution disputes. Referrals from users located in jurisdictions where TradingDock does not operate are not eligible for commission.
The following conduct will result in IMMEDIATE TERMINATION and FORFEITURE OF ALL ACCRUED COMMISSIONS, and may result in legal action: (a) Self-referrals: Using your own Referral Assets to subscribe yourself, household members, employees, or any entity you control. (b) Cookie stuffing: Placing your referral cookie on users' browsers without their knowledge or consent. (c) Fraudulent traffic: Purchasing clicks, using bots, automated traffic, click farms, or any artificial traffic generation. (d) False or misleading claims: Guaranteeing profits, making specific return promises, claiming TradingDock is a licensed investment advisor, or making any claim that constitutes unregistered investment advice. (e) Paid brand keyword advertising: Running paid search or social ads targeting "TradingDock," "Trading Dock," or any Company trademark without prior written approval. (f) Spam: Sending unsolicited bulk emails or messages, harvesting emails, or violating CAN-SPAM, CASL, GDPR, or any applicable anti-spam law. (g) Incentivized referrals: Offering cash, gift cards, rebates, or other tangible incentives to users in exchange for signing up without prior written approval. (h) Impersonation: Creating content that could be mistaken for official TradingDock communications or implying official Company endorsement beyond the affiliate relationship. (i) Reverse engineering: Attempting to reverse-engineer, scrape, or misuse TradingDock's systems, data, or intellectual property. The Company monitors all traffic, conversion patterns, and promotional content. Suspicious activity will result in held commissions pending investigation.
Federal Trade Commission (FTC) guidelines (16 C.F.R. Part 255) and equivalent international regulations require clear and conspicuous disclosure of material connections between endorsers and brands. You are REQUIRED to include the following disclosure (or substantially equivalent language) in ALL promotional content — including but not limited to videos, posts, stories, live streams, emails, newsletters, podcasts, and blog articles: "I earn a commission if you subscribe through my link." This disclosure must (a) appear BEFORE the referral link, (b) be clearly visible without the viewer having to scroll or click, (c) NOT be buried in description boxes, comment sections, or footnotes without also appearing prominently in the main content, and (d) be present in EVERY piece of content. Failure to comply constitutes a material breach and may result in regulatory action against you by the FTC.
If a referred subscriber requests and receives a refund within 30 days of their initial subscription payment, the corresponding commission will be reversed. If a chargeback is filed and upheld, the full commission attributed to that payment will be deducted from your next payout. If your balance is insufficient to cover the clawback, you may be required to remit the difference. A pattern of high refund or chargeback rates associated with your traffic may trigger a fraud review and commission hold.
Payouts are processed on or around the 1st of each calendar month for commissions that have cleared the 30-day refund window in the prior month. Minimum payout threshold is USD $25. Payouts are issued via PayPal or Wise to the address on file. You are responsible for providing accurate payout information. You are solely responsible for reporting and remitting any applicable income taxes, self-employment taxes, VAT, GST, or other taxes on commissions received. The Company may issue a Form 1099 or equivalent tax document as required by applicable law.
The Company grants you a limited, revocable license to use approved TradingDock trademarks, logos, and marketing materials solely for promoting the Affiliate Program in accordance with this Agreement. You may not modify, alter, distort, or create derivative works from Company brand assets. You may not register domain names, social media handles, or accounts that incorporate "TradingDock," "Trading Dock," or confusingly similar terms without written approval. Upon termination, you must immediately cease all use of Company brand assets and remove all promotional content containing Referral Assets.
This Agreement is effective until terminated. Either party may terminate with 30 days' written notice. The Company may terminate IMMEDIATELY and without notice for any breach of Section 5 (prohibited conduct), failure to comply with Section 6 (FTC disclosures), fraudulent activity, or conduct causing reputational harm to the Company. Upon termination for cause, all unpaid commissions are forfeited. Upon termination without cause by the Company, approved commissions already recorded will be paid on the next regular payout date. You must cease all promotional activity and remove all Referral Assets within 48 hours of termination.
THE AFFILIATE PROGRAM IS PROVIDED "AS IS." THE COMPANY MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED AVAILABILITY. THE COMPANY'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL THE COMPANY BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. THE COMPANY RESERVES THE RIGHT TO MODIFY, SUSPEND, OR DISCONTINUE THE AFFILIATE PROGRAM AT ANY TIME.
You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, and agents from and against any claims, damages, losses, penalties, fines, or expenses (including reasonable attorneys' fees) arising from (a) your promotional activities, (b) your breach of this Agreement, (c) your violation of any applicable law or third-party right, (d) any claim that your content infringes or violates a third party's rights, or (e) any regulatory action resulting from your failure to make required disclosures.
This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under this Agreement shall be resolved exclusively through binding individual arbitration conducted by JAMS under its Streamlined Arbitration Rules. CLASS ACTION AND JURY TRIAL RIGHTS ARE EXPRESSLY WAIVED. The arbitration shall be conducted in English and the decision of the arbitrator shall be final and binding. The prevailing party shall be entitled to recover reasonable attorneys' fees and costs.
This Agreement constitutes the entire agreement between the parties regarding the Affiliate Program and supersedes all prior agreements. If any provision is found unenforceable, the remaining provisions remain in full force. The Company's failure to enforce any right or provision is not a waiver. You may not assign this Agreement without prior written consent. The Company may assign this Agreement in connection with a merger, acquisition, or sale of assets. Sections 5, 6, 7, 11, 12, and 13 survive termination of this Agreement.
